Event Cadence, Inc. (“Cadence”, “we”, “us” the “Company”) offers you the opportunity to earn cash by continuing to do what you already do – recommend Cadence to your friends and family. Your participation in the Cadence Referral Program (“The Program”) can earn you cash rewards. We reserve the right to terminate the Program at any time for any reason.

These terms (“Terms”) apply to a user's participation in the Program. By participating in the Program, users agree to use the Program as outlined herein, and consistent with any other terms we may apply to the Program. If you do not agree to these Terms in their entirety, then you cannot register and participate in the Program. Users also cannot where in so doing, they would violate any applicable law or regulations.

Eligibility

This Program is void where such referral programs are prohibited. Users who refer others to the program are “Referrers”; Referrers will make “Qualified Referrals” of Cadence to “Qualified Customers” (as described herein below). Cadence will meet or conference and negotiate independently with a Qualified Customer after a referral with respect to a “Qualified Engagement” (as described herein below) and the terms applicable to such Qualified Engagement. Referrer may not object to any decisions made by Cadence regarding the terms or conditions of a Qualified Engagement entered into after a referral. Further, Cadence will have sole discretion to enter into or not enter into an arrangement with a Qualified Customer. Referrers are may be eligible to receive cash back for every referral which leads to a Qualified Engagement. Referrers must speak and read English, be legally able to participate in the Program, and must be 1) at least the age of majority where they reside and 2) have an existing, valid Cadence user account.

Companies and employees of Cadence Entities or their subsidiaries, affiliates or promotional agencies, including immediate family and household members, are not eligible.

How to Participate

To participate, once you have created your Cadence account, you can go into your online profile and find your unique referral link. You can share your unique link with your friends and colleagues as much as you want. If a user uses your personal link to create a Cadence account and contracts for an event, you will receive 5% cash back (“rewards”) on the licensing fee.

Referral Status

Upon signing up for the Program, Referrers will be provided with a unique referral link (“Personal Link”) that allows Referrers to receive cash if an account is created and a Qualified Engagement is contracted. Each Referrer will be able to check his/her status on referrals by logging in to his/her/their account and checking the Referral Status. Referrers will also be provided with a unique and personal Cadence “Referral Status” page to check page or account to check the status of his/her Qualified Referrals and to manage his/her account. An individual must use their Personal Link to participate in the program but no purchase is required. Referrers must respect the spirit of the Program by not engaging in spamming or other unfair or otherwise problematic practices, including creating fake accounts or harassing potential referral sources. If an account is created and an event is contracted without using the personal link, Referrer will not receive credit for the referral.

How it Works

In consideration for Referrer’s referral services, Cadence shall pay to Referrer fees (“Referral Fees”) in an amount equal to 5% of Qualified Revenue. “Qualified Revenue” means sales revenue on licensing fees actually received by Cadence from each Qualified Engagement. “Qualified Engagement” means an engagement by Cadence by a Qualified Customer. “Qualified Customer” means a customer: (1) that is referred to Cadence for Cadence Services by Referrer, (2) that is not a current or former customer of Cadence, and (3) with respect to which Cadence is not obligated to pay a referral fee, commission, or other compensation to anyone other than Referrer.

Payment will be made via check within ninety (90 days) after receipt of payment from the Qualified Customer. Referrer shall be responsible for any and all income and other taxes applicable to it in connection with its receipt of Referral Fees pursuant hereto and as an independent contractor of Cadence. Cadence will not be responsible for any expenses of Referrer in the course of the performance of its obligations hereunder unless such expenses have been previously approved in writing by Cadence. Referrer must provide a W-9, W-8, W-8BEN, W-8BEN-E, or other similar tax documents for referral payment.

Release of Liability

Except where prohibited, Users agree that by participating in the Program, they agree: (1) to be bound by these Terms the decisions of Cadence, its Administrators and/or their designees, and privacy policies; (2) to release and hold harmless Cadence, affiliates and subsidiaries, together with their respective employees, directors, officers, licensees, licensors, shareholders, attorneys and agents including, without limitation, their respective advertising and promotion entities and any person or entity associated with the production, operation or administration of the Program (collectively, the "Released Parties"), from any and all claims, demands, damages, losses, liabilities, costs or expenses caused by, arising out of, in connection with, or related to their participation in the Program (including, without limitation, any property loss, damage, personal injury or death caused to any person(s) and/or the awarding, receipt and/or use or misuse of the Program or any Credit); and (3) to be contacted by Cadence via e-mail.

Except where prohibited by law, the Released Parties shall not be liable for: (i) data corruption, theft, destruction, unauthorized access to or alteration of entry or other materials; or (ii) any injuries, losses or damages of any kind resulting from acceptance, possession or use of cash rewards, or from participation in the Program. Cadence disclaims any liability for damage to any computer system resulting from participating in, or accessing or downloading information in connection with this Program, and reserve the right, in their sole discretion, to cancel, modify or suspend the Program should a virus, bug, computer problem, unauthorized intervention or other causes beyond Cadence’s control, corrupt the administration, security or proper play of the Program.

Except where prohibited, the Released Parties shall not be liable to any Users for failure to supply any reward or any part thereof, by causes beyond Cadence’s reasonable control ("Force Majeure"). The term Force Majeure shall include, without limitation, acts of God, fire, explosion, vandalism, storm or other similar occurrence, orders or acts of military or civil authority, or by national emergencies, insurrections, riots, or wars. Cadence shall use reasonable efforts under the circumstances to avoid or remove such causes of non-performance and shall proceed to perform with reasonable dispatch whenever such causes are removed or ceased.

As a condition of entering the Program, and unless prohibited by law, Users agree that under no circumstances will Users be entitled to any awards for any losses or damages, and Users hereby waive all rights to claim punitive, incidental, consequential and any other damages, and waives any and all rights to have damages multiplied or otherwise increased. A waiver of rights may not apply to you in your jurisdiction of residence. Additional rights may be available to you.

Cadence reserves the right to cancel or suspend this Program should it determine, in its sole discretion, that the administration, security or fairness of this Program has been compromised in any way.

Applicable Law

Except where prohibited, disputes, claims and causes of action arising out of or related to this Program or any reward awarded shall be resolved under the laws of the United States, and except where prohibited, in accordance with the laws of the State of Delaware.

Rules and Restrictions

Cadence may prohibit anyone from participating in the Program or receiving a cash reward if they determine such User is attempting to undermine the fairness, integrity or legitimate operation of the Program in any way by cheating, hacking, deception, or any other unfair playing practices of intending to annoy, abuse, threaten or harass any other Cadence users (whether or not enrolled in the Program), or representatives of Cadence. Use of any automated system to participate is strictly prohibited, and if discovered, and will result in disqualification. Cadence reserves the right to disqualify anyone, cancel rewards, disable or suspect an account, and contact legal authorities (including law enforcement), if it should discover a user is tampering with the entry or referral process or the operation of the Program or violating these Terms. Referrals generated by a script, macro or other automated means will be disqualified. If a solution cannot be found to restore the integrity of the Program, we reserve the right to cancel, change, or suspend the Program.

Privacy

Participation in the Program may require a Referred Customer and/or a Referrer to submit personal information about themselves. The personal information will be collected, processed and used in accordance with Cadence’s Privacy Policy which can be found at https://eventcadence.com/PrivacyPolicy. In addition, personal information may be used by Cadence on Cadence’s behalf, to contact Users with regards to participation in the Program and to receive communications from Cadence of the Program.

Severability

If any provision of these terms are held to be invalid or unenforceable for any reason, the remaining provisions will continue to be valid and enforceable. If a court finds that any provision of these terms is invalid or unenforceable, but that by limiting such provision it would become valid and enforceable, then such provision will be deemed to be written, construed, and enforced as so limited.

Reservations of Rights

Cadence reserves the right to modify or amend at any time these Terms and the methods through which rewards are earned. We reserve the right to disqualify any User at any time from participation in the Program if he/she does not comply with any of these Terms. Cadence’s failure to enforce any term of these Terms shall not constitute a waiver of that provision.

CAUTION: ANY ATTEMPT TO DELIBERATELY DAMAGE OR UNDERMINE THE LEGITIMATE OPERATION OF THE PROGRAM MAY BE IN VIOLATION OF CRIMINAL AND CIVIL LAWS AND WILL RESULT IN DISQUALIFICATION FROM PARTICIPATION IN THE PROGRAM. SHOULD SUCH AN ATTEMPT BE MADE, PROGRAM ENTITIES RESERVE THE RIGHT TO SEEK REMEDIES AND DAMAGES (INCLUDING ATTORNEY FEES) TO THE FULLEST EXTENT OF THE LAW, INCLUDING CRIMINAL PROSECUTION
